1. Acceptance of Terms

By accessing or using Climb Together's (“Climb Together”, “us”, “our”, “we”) Goldi AI coaching service ("Goldi"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use Goldi. BY CREATING AN ACCOUNT, CHECKING THE BOX THAT INDICATES YOUR ACCEPTANCE OF THESE TERMS, OR USING GOLDI, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

2. Service Description

Our website features an interactive AI coach, referred to as “Goldi.” Goldi is an AI-powered coaching service designed to help users build professional relationships and improve job search outcomes. The service includes, among other things, an interactive experience enabling two way real-time text and voice-based interactions (chat) with our AI coach, Goldi, educational content, assessments, and personalized feedback (“Services”).

3. Account Registration and Limited License

To use Goldi, you must create an account (“Account”). You agree to:

Provide accurate and complete information
Maintain the confidentiality of your Account credentials
Be solely responsible for all activities that occur under your Account
Notify us immediately of any unauthorized use of your Account

We reserve the right to refuse, cancel or disable your Account at any time if (a) we have reason to believe it is being used in violation of these Terms, for fraud or other illegal purposes; (b) due to Services availability issues, errors in registration or with the Services; or (c) for any other lawful reasons.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services does not violate any applicable laws, regulations, or third-party rights.

Limited License to Use the Services. Subject to your compliance with these Terms, Climb Together grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use Goldi and the Services for your personal, non-commercial use only. You may not access or use the Services for any commercial, competitive, or monitoring purposes (including building or improving competing products or services), or in any manner not expressly permitted by these Terms.

4. Eligibility

The Services are intended for individuals who are at least 13 years of age. By using Goldi, you represent and warrant that you are (a) at least 18 years old, or (b) if you are at least 13 but under 18, you have obtained consent from your parent or legal guardian to use the Services and to agree to these Terms. If you do not meet these requirements, you must not access or use the Services. If you access Goldi through an educational institution, employer, training provider, nonprofit, or other organization that sponsors or facilitates your access to the Services (each, a “Partner Organization”), your access may be subject to a separate agreement between Climb Together and the Partner Organization (a “Partner Agreement”). To the extent of any direct conflict between these Terms and a Partner Agreement, the Partner Agreement will govern as between Climb Together and the Partner Organization; however, these Terms will continue to apply to your individual use of the Services. Climb Together operates as a service provider to Partner Organizations and is not designated as a “school official” under the Family Educational Rights & Privacy Act (“FERPA”) and does not maintain education records on behalf of any institution.

5. Privacy and Data Collection

5.1 Privacy Policy Your use of Goldi is subject to our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand how we collect, use, and share your information. In the event of a direct conflict between these Terms and our Privacy Policy, these Terms will control solely with respect to the subject matter of such conflict, and the Privacy Policy will control with respect to our collection, use, and disclosure of personal information.

5.2 Session Recording

BY USING GOLDI, YOU EXPRESSLY CONSENT TO THE RECORDING OF ALL SESSIONS, INCLUDING TEXT INTERACTIONS AND VOICE RECORDINGS. These recordings are used for quality improvement, service optimization, and training purposes. All session recordings are handled and retained according to our Privacy Policy

We operate the Service in the United States and may also opt to operate the Service internationally from time to time. If you choose to access our Services from locations outside the United States, you consent to the collection, transmission, use, storage and processing of content and data (including your personal information) in the United States. You also agree to comply with and are solely responsible for ensuring compliance with all local laws, regulations, and rules in the jurisdiction in which you reside or access the Service, if and to the extent local laws are applicable to use of our Services. We do not represent that our Services is appropriate or available for use in jurisdictions outside the United States. The right to access and use the Services is not granted in jurisdictions, if any, where it may be prohibited, or where your use would render us in violation of any applicable laws or regulations.

5.3 Voice Interactions

If you choose to use Goldi's voice chat feature:

Your voice is processed in real-time to generate responses
Recordings help us improve Goldi's understanding and responses
You can opt to use text-only chat instead
Voice data is never sold or shared beyond our essential service providers

5.4 Information Security. We implement commercially reasonable and appropriate physical, technical, and organizational security measures designed to protect personal data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access. However, no method of transmission over the internet or method of electronic storage is completely secure, and we cannot guarantee absolute security.

5.5 Data Export; Deletion.

To the extent we make such functionality available, you may request an export of your conversation history or other User Content in a machine-readable format (such as JSON or CSV). We may limit the frequency or scope of such exports for security, technical, or legal reasons. We reserve the right to delete all User Content, including all conversation histories within 30 days after termination of your Account unless precluded by applicable law.

6 Use of Artificial Intelligence

6.1 Description

Our interactive AI coach, Goldi, uses generative artificial intelligence and automated decision-making technologies to simulate mock interviews, provide feedback on your interview performance, and offer suggestions for improvement. When you interact with Goldi (including via text or voice), your inputs are processed by software models that generate automated responses based on patterns in data on which those models were trained.

6.2 Third-Party Large Language Models

Goldi utilizes third-party large language models (“LLMs”) from leading service providers. When you use Goldi, we will send your relevant inputs and prompts (including text, audio transcripts, and related metadata) to our third-party LLM service providers so that we can generate responses for you.

6.3 Voice Chat, Recording, and Transcription

When you use the voice chat or mock interview feature, your audio will be recorded so that Gold can process your questions and answers and provide real-time or near real-time responses and feedback.

We (and/or our service providers) may convert your voice recordings into text (transcription) and other technical data (such as timing, speech cadence, or similar metrics) for the purposes of:

Operating and providing our Services, including Goldi, and related features (including feedback and scoring),
Improving, troubleshooting, and securing our Services, and
Complying with legal obligations and enforcing our rights.

As described in our Privacy Policy, we do not store voice recordings but may retain voice transcripts for a period that is reasonably necessary for these purposes. Where feasible, we may de-identify or aggregate such data before using it for analytics and product improvement.

6.4 Privacy; No Use of User Data to Train Third-Party Models

All Personal Data provided in connection with use of our interactive AI coach is governed by our Privacy Policy. We configure the LLMs we utilize so that no information or data you provide to our interactive AI coach is used by third-party providers to train or improve their generalized, external AI models on an identifiable basis.

While Climb Together may leverage your interactions with Goldi in an anonymized and/or aggregated form to develop, train, and improve our own models, features, and Services, as described in our Privacy Policy, we do not: (a) train third-party AI models on identifiable user data; (b) engage in advertising or marketing to you based on your use of Goldi; (c) create behavioral profiles for commercial advertising purposes; (d) sell or rent your information to third parties; or (e) share your data with third-party advertisers or data brokers.

6.5 Intended Use; No Professional Advice; No Liability

Our interactive AI Chatbot is intended solely for educational and practice purposes to help users (including high school and college-age students) prepare for interviews and improve communication skills. Goldi is intended for purely informational purposes only and should not be relied upon as professional advice. You should independently verify any information before relying on it. You, and not Climb Together, are solely responsible for reviewing, evaluating, and validating any information or outputs provided by Goldi, and for all decisions, actions, and communications you take or fail to take in reliance on such outputs.

Generative AI technologies are probabilistic and may produce outputs that are incomplete, incorrect, misleading, or otherwise inappropriate, We do not guarantee that any output generated by the AI Chatbot will be accurate, complete, current, or suitable for any particular purpose, and we make no representations, warranties, or guarantees regarding the content of any AI-generated responses, and all information is provided “as is”. However, we regularly monitor the interactive AI Chatbot for potential bias.

YOU AGREE THAT CLIMB TOGETHER SHALL HAVE NO LIABILITY RELATED TO YOUR INTERACTION WITH, USE OF, OR RELIANCE UPON GOLDI OR ANY INFORMATION PROVIDED.

6.6 User Responsibilities and Acceptable Use

When you use our interactive AI Chatbot, you agree not to create, upload, or share any content that violates these Terms, including content that is unlawful, harmful, harassing, discriminatory, obscene, or otherwise inappropriate for a school or professional context.

You further agree not to attempt to misuse, reverse engineer or interfere with the operation of the interactive AI Chatbot, including by attempting to circumvent usage limits or security controls, or by prompting the interactive AI Chatbot to generate disallowed or harmful content.

You are responsible for independently evaluating and verifying any information provided by our AI Chatbot before relying on it. You should not treat AI-generated feedback as a definitive assessment of your abilities or a guarantee of performance in any real interview or evaluation.

6.7 Allocation of Risk; Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR USE OF OUR INTERACTIVE AI CHATBOT IS AT YOUR SOLE RISK. THE INTERACTIVE AI CHATBOT IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND WE EXPRESSLY DISCLAIM ALL WARRANTIES (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE) REGARDING THE INTERACTIVE AI CHATBOT AND ANY OUTPUTS, INCLUDING ANY IMPLIED WARRANTIES OF ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY AND NON-INFRINGEMENT.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE DO NOT WARRANT THAT OUR INTERACTIVE AI CHATBOT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL CODE; THAT ANY DEFECTS WILL BE CORRECTED; OR THAT ANY PARTICULAR RESULT OR OUTCOME (INCLUDING INTERVIEW PERFORMANCE OR ADMISSION, HIRING, OR PROMOTION DECISIONS) WILL BE ACHIEVED.

FURTHER, TO THE EXTENT PERMITTED BY LAW, WE WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE INTERACTIVE AI CHATBOT OR YOUR RELIANCE ON ANY AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO ANY DECISIONS YOU MAKE REGARDING YOUR EDUCATION, CAREER, EMPLOYMENT, HEALTH OR FINANCES.

6.8 Consent to AI Processing and Recordings

By enabling or using the AI Chatbot (including the voice chat feature), you:

Consent to the recording, processing, transcription, and storage of your interactions (including your voice and any content you provide) as described in this Section 5 and our Privacy Policy;
Consent to the transmission of your inputs and related data to our third-party LLM service providers for the purpose of generating AI responses;
Acknowledge and accept the limitations, risks, and disclaimers described in this Section 6 and elsewhere in these Terms, including the possibility of inaccurate or inappropriate outputs; and
Agree that you will supervise and are responsible for any minors using your account, as applicable.

If you do not agree to these terms and conditions in this Section 6, or otherwise within these Terms, you must not use our interactive AI Chatbot, including the voice chat feature.

7. User Conduct and Content Moderation

7.1 Prohibited Conduct

You agree not to use Goldi or any of our Services to:

Violate any applicable laws or regulations
Infringe the intellectual property rights of others
Upload or transmit viruses or other malicious code
Harass, abuse, or harm another person
Use offensive, discriminatory, incendiary, or hate speech
Share sexually explicit or violent content
Create or send spam or other unsolicited or irrelevant advertising, promotional, or solicitation content or materials
Attempt to manipulate or abuse the AI system or Services
Interfere with or disrupt our Services, including Goldi or servers connected to Goldi
Attempt to gain unauthorized access to any part of Goldi, including any attempt to break or circumvent authentication or security measures or otherwise test the vulnerability of our systems, networks or the Services
Use our Services or Goldi for any illegal or unauthorized purpose
Interfere with, inhibit or restrict any other user from enjoying the Services
Impersonate any person or entity, misrepresent your identity, or falsely state or otherwise misrepresent your affiliate with a person or entity
Share your password or take actions that put your Account at risk
Attempt to use another’s account
Engage in activities related to the soliciting of email or other contact information from other users
Take any action to scrape the Services
Reverse-engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code of the Services, Goldi or any related technology

7.2 Content Moderation

Climb Together reserves the absolute right (but not the obligation) to take all action to protect the Services and address inappropriate conduct as determined in our sole and absolute discretion, including without limitation, to:

Monitor and review all interactions with Goldi and our Services
Remove any content that violates these Terms
Suspend or terminate accounts that engage in prohibited conduct or if we believe such account(s) pose a risk of a harm to the Services, our system or other users
Report illegal activity to appropriate law enforcement authorities

7.3 Account Access, Limitations, Suspensions and Termination

We reserve the right to limit, terminate or suspend your Account immediately, without prior notice or liability for any lawful reason, including without limitation

If your affiliation with our partner organizations changes or ends
If we determine that you are using the Services in violation of these Terms
For scheduled maintenance or unexpected technical issues
If we determine the Services or other users may be at risk
If we determine that you:
Are using offensive, harassing, or discriminatory language
Attempting to use Goldi or the Services for prohibited purposes
Engaging in any conduct that interferes with other users' enjoyment of the Service
Creating multiple accounts to circumvent suspensions or terminations

7.4 Zero Tolerance Policy We maintain a zero-tolerance policy for certain types of behavior, including hate speech, harassment, and threats. Accounts engaging in such behavior (or similar behaviors) will be terminated immediately.

8. Content and Ownership

8.1 User Content Defined

"User Content" refers to:

Text messages you send to Goldi
Voice transcripts when using voice chat with Goldi
Any information you provide during interactions with the Service
Content you create using Goldi's assistance

8.2 User Content Ownership and License

You retain ownership of your User Content. By using Goldi or the Services, you grant Climb Together a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, transferable and sublicensable right to use, copy, modify, translate, distribute, publish, and process any information and User Content that you provide through the Services, without any further consent, notice, accounting, and/or compensation to you or others, at all times subject to our Privacy Policy, to: Store your Content on our servers, and

Process your Content to generate AI responses and provide and support the Services, including for technical and other customer support purposes
Analyze your Content to improve Goldi's AI capabilities using anonymized and/or aggregated data
Use anonymized insights from your Content for product improvement, to provide and support the Services, and for statistical or analytics purposes

This license DOES NOT give us permission to:

Share your specific conversations with other users
Publicly display your conversations for marketing without additional consent
Sell your Content to third parties
Use your Content in ways unrelated to providing and improving Goldi or as otherwise explicitly set forth in these Terms

8.3 Partner Organization Access

When you access Goldi through an educational institution, employer, training provider, nonprofit, or other organization that sponsors or facilitates your access to the Services, or with whom you otherwise have a formal relationship (each, a "Partner Organization"):

Instructor/Administrator Access: Your instructors, advisors, coaches, supervisors, or program administrators at the Partner Organization may have access to your conversations, recordings, and interaction data with Goldi.
Educational and Program Assessment: Your interactions may be used by your Partner Organization for assessment, feedback, instructional purposes, coaching, or program administration.
Institutional and Program Reporting: Anonymized or aggregate data about your usage may be shared with your Partner Organization for reporting, analytics, evaluation, and other lawful purposes.
Program Evaluation and Research: Excerpts or recordings from your interactions may be shared with the sponsoring Partner Organization for program evaluation, quality improvement, and research, in accordance with applicable law and that organization's own policies.

If you are using Goldi as part of a course, program, employment-related initiative, or other offering sponsored or administered by a Partner Organization, you acknowledge and agree that: (a) your conversations and other User Content are not private from the Partner Organization's authorized representatives (such as instructors, advisors, coaches, supervisors, or program administrators); (b) the Partner Organization may access, use, retain, and disclose your User Content for assessment, feedback, instructional, coaching, program administration, evaluation, research, compliance, or reporting purposes, in accordance with its own policies; and (c) Climb Together may share your User Content, and related usage and performance information, with the Partner Organization and its authorized representatives for these purposes. In addition, if you choose to connect your Account with, or direct us to share your User Content or related information with, any third party (such as a mentor, coach, employer, or other organization), you hereby authorize Climb Together to share such information with those third parties as you designate. Climb Together shall have no liability or responsibility for any Partner Organization's or other third party's access to, use of, processing of, or storage of your User Content, and you explicitly consent to Climb Together's sharing of such User Content as described in these Terms.

8.4 Session Recordings for Quality Improvement

As detailed in Section 5.2, your sessions are recorded for quality improvement. These recordings:

Help us understand how users interact with Goldi
Allow us to identify and fix technical issues
Support training and configuring our AI models and systems to provide better responses and improve educational effectiveness using anonymized and/or aggregated data
May be reviewed by authorized Climb Together personnel

8.5 Product Improvement and Research

We use your interactions with Goldi, including your User Content and usage data, to operate, maintain, and improve Goldi and the Services; to measure and improve the effectiveness of our coaching curriculum and assessments; to evaluate and enhance user experience; and to conduct educational research and analytics. To the extent we use your information for research or analytics beyond providing the Services, we will do so using data that has been de-identified and/or aggregated so that it does not reasonably identify you as an individual, and we will not attempt to re-identify such data. Any published findings (for example, in academic or research publications) will be fully anonymized and will not identify you personally.

8.6 Feedback

If you provide suggestions or feedback regarding Goldi or the Services, you grant Climb Together the right to use this feedback without restriction or compensation for any lawful purpose.

8.7 Ownership of the Services

Goldi, the Services, and all content, materials, and all intellectual property rights related to the same, including but not limited to text, graphics, logos, images, and software, belong exclusively to Climb Together or its licensors and are protected by copyright, trademark and other intellectual property laws. These Terms do not grant you any right, title, or interest in Goldi or the Services except for the limited, personal, non-exclusive, non-transferable, and revocable right to use the Service as outlined in these Terms for your personal, non-commercial use. You may not use, reproduce, distribute, or create derivative works from any content or materials use in connection with Goldi or the Services without our prior written consent.

8.8 Third-Party Content

Our Services may contain links to third-party websites or services that are not owned or controlled by Climb Together. We are not responsible for the content, privacy policies, or practices of any third-party websites or services, and we do not warrant the offerings of any of these entities/individuals or their websites. You access and use third-party websites or services at your own risk and subject to the terms and conditions and privacy practices of such third-party websites or services. We strongly encourage you to read the term, conditions and privacy policies of any third party web site or services that you visit. You acknowledge and agree that Climb Together shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

8.9 Optional Research Studies

From time to time, we may invite you to participate in optional research studies (such as interviews, surveys, or longitudinal studies). Participation in any such study is voluntary and will require your separate, explicit consent after we provide you with additional information about the study. Your decision to participate or not participate will not affect your access to Goldi or the Services, and you may decline or withdraw from a study at any time.

9. Service Access and Potential Future Subscriptions

9.1 Educational Partnerships

Goldi is currently provided free of charge to users through our partnerships with educational institutions and organizations. Your access is sponsored by these partner organizations, and your eligibility is determined by your affiliation with these partners.

9.2 Future Subscription Options

We may introduce subscription-based access to Goldi and the Services in the future. If we implement a subscription or other paid model:

We will provide clear notice of any changes
We will describe all fees on our website
We reserve the right to change our fees with advance notice
We will use Stripe, or other third-party processor, to process payments, and your payment information will be subject to such payment processor’s privacy policy and terms of service
You will be able to cancel your subscription according to our cancellation policy then in effect
Refunds, if applicable, as determined in our sole discretion, will be processed according to our refund policy

10. Termination In addition to all other rights of termination as set forth in these Terms, we may terminate or suspend your access to Goldi or the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use Goldi and the Services will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, disclaimer of warranties, indemnity and limitations of liability.

11. Disclaimer of Warranties GOLDI AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND YOU AGREE AND ACKNOWLEDGE THAT YOUR USE OF THE SERVICES ARE AT YOUR OWN DISCRETION AND SOLE RISK. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIMB TOGETHER, ITS AFFILIATES, SUPPLIERS, OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, CONTRACTORS, REPRESENTATIVES, AND AGENTS (THE “CLIMB TOGETHER PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OR INABILITY TO USE OUR INTERACTIVE CHATBOT OR THE SERVICES, ANY UNAUTHORZED ACCESS TO OR USE OF OUR, OR OUR SUPPLIERS’, SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN, ANY INTERRUPTION TO THE SERIVCES, ANY BUGS, VIRUSES, TROJAN HORSES OR MALWARE THAT MEY BE TRASMITTED TO OR THROUGH THE SERVICES BY ANY THIRD-PARTY, ANY ERRORS OR MISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF ANY USER CONTENT OR OTHER CONTENT MADE AVAILABLE THROUGH THE USERS, INCLUDING RESPONSES BY OUR INTERACTIVE CHATBOT. IN NO EVENT SHALL CLIMB TOGETHER OR THE CLIMB TOGETHER PARTIES’ TOTAL LIABILITY TO YOU UNDER THESE TERMS FOR ALL DAMAGES (OTHER THAN AS REQUIRED BY APPLICABLE LAW RELATING TO PERSONAL INJURY) EXCEED FIFTY U.S. DOLLARS ($50.00). THIS LIMITATION OF LIABILITY IS A CRITICAL ELEMENT OF THE BARGAIN BETWEEN YOU AND CLIMB TOGETHER AND WE WOULD NOT HAVE ENTERED INTO THESE TERMS WITH YOU WITHOUT THIS LIMITATION OF LIABILITY.

13. Indemnification

You agree to indemnify and hold harmless Climb Together and the Climb Together Parties from any claims, damages, liabilities, losses, demands, suits, allegations, costs, or expenses (including reasonable attorneys’ and other professionals’ fees and court costs) arising from your use of Goldi or the Services, your provision of User Content, and/or violation of these Terms.

14. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you via email or by posting a notice on our website. Your continued use of Goldi and/or the Services after such modifications constitutes your acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Except to the extent governed by the Dispute Resolution process in Section 16, You agree to submit to the personal jurisdiction and exclusive venue of the federal and state courts located in and serving the County of San Francisco, California as the legal forum for any lawsuit.

16. Dispute Resolution; No Class Action

You agree that any dispute arising from these Terms shall be resolved exclusively through binding arbitration conducted in San Francisco, California, under the commercial arbitration rules of the American Arbitration Association (“AAA”), except that you may assert claims against us in small claims court if your claims qualify. The arbitration shall be overseen by a single arbitrator appointed under the AAA rules. The arbitrator shall memorialize any decision in a written memorandum of decision, shall apply applicable law as set forth herein, and shall have no authority to modify these terms. Reasonable discovery will be permitted at the discretion of the arbitrator. Any arbitration decision may be filed in a court of competent jurisdiction. The foregoing arbitration process shall not apply in the case either party seeks equitable relief.

To the fullest extent permitted by applicable law, you agree that you may bring claims against us only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action or proceeding.

17. General Terms

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect, and you and we agree that the court, or arbitrator should modify the terms to make that part enforceable to effect the original intent of the parties to the maximum extent possible. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service. You may not assign or transfer these Terms (or your use of the Services) to anyone without our prior written consent, which may be withheld in our sole discretion, and you agree that we may assign these Terms without your consent for any reason, including if we experience a change in control as part of a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. There are no third-party beneficiaries to these Terms.
