1. Acceptance of Terms

By accessing or using Climb Together's (“Climb Together”, “us”, “our”, “we”) Goldi AI coaching service ("Goldi"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use Goldi. BY CREATING AN ACCOUNT, CHECKING THE BOX THAT INDICATES YOUR ACCEPTANCE OF THESE TERMS, OR USING GOLDI, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

2. Service Description

Our website features an interactive AI coach, referred to as “Goldi.” Goldi is an AI-powered coaching service designed to help users build professional relationships and improve job search outcomes. The service includes, among other things, an interactive experience enabling two way real-time text and voice-based interactions (chat) with our AI coach, Goldi, educational content, assessments, and personalized feedback (“Services”).

While we strive to ensure the accuracy of the information provided by Goldi, we do not guarantee its completeness, accuracy or reliability. All information is provided “as is” without warranty of any kind. Goldi is intended for purely informational purposes only and should not be relied upon as professional advice. The information provided by Goldi may not be accurate, complete, or up-to-date. You should independently verify any information before relying on it. You hereby agree that Climb Together shall have no liability related to your interaction with, use of, or reliance upon Goldi or any information provided. The interactive AI coach utilizes third-party large language models (“LLMs”) through a third-party service provider. No information or data provided by you to our interactive AI coach is used to train these third-party AI models. All data provided in connection with use of our interactive AI coach is governed by our Privacy Policy.

3. Account Registration To use Goldi, you must create an account. You agree to:

Provide accurate and complete information
Maintain the confidentiality of your account credentials
Be solely responsible for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

We reserve the right to refuse, cancel or disable your account at any time if (a) we have reason to believe it is being used in violation of these Terms, for fraud or other illegal purposes; (b) produce of Services availability, errors in registration or with the Services, or (c) other reasons.

You agree to use our Service only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Service does not violate any applicable laws, regulations, or third-party rights.

4. Privacy and Data Collection

4.1 Privacy Policy Your use of Goldi is subject to our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand how we collect, use, and share your information.

4.2 Session Recording

BY USING GOLDI, YOU EXPRESSLY CONSENT TO THE RECORDING OF ALL SESSIONS, INCLUDING TEXT INTERACTIONS AND VOICE RECORDINGS. These recordings are used for quality improvement, service optimization, and training purposes. All session recordings are handled according to our Privacy Policy and are retained for up to 90 days.

We operate the Service in the United States and may also opt to operate the Service internationally from time to time. If you choose to access our Service from locations outside the United States, you consent to the collection, transmission, use, storage and processing of content and data (including your personal information) in the United States. You also agree to comply with and are solely responsible for ensuring compliance with all local laws, regulations, and rules in the jurisdiction in which you reside or access the Service, if and to the extent local laws are applicable to use of our Service. We do not represent that our Services is appropriate or available for use in jurisdictions outside the United States. The right to access and use the Service is not granted in jurisdictions, if any, where it may be prohibited, or where your use would render us in violation of any applicable laws or regulations.

4.3 Voice Interactions

If you choose to use Goldi's voice chat feature:

Your voice is processed in real-time to generate responses
Voice recordings are stored for up to 90 days
Recordings help us improve Goldi's understanding and responses
You can opt to use text-only chat instead
Voice data is never sold or shared beyond our essential service providers

5. User Conduct and Content Moderation

5.1 Prohibited Conduct

You agree not to use Goldi or any of our Services to:

Violate any applicable laws or regulations
Infringe the intellectual property rights of others
Upload or transmit viruses or other malicious code
Harass, abuse, or harm another person
Use offensive, discriminatory, incendiary, or hate speech
Share sexually explicit or violent content
Create or send spam or other unsolicited or irrelevant advertising, promotional, or solicitation content or materials
Attempt to manipulate or abuse the AI system or Services
Interfere with or disrupt our Services, including Goldi or servers connected to Goldi
Attempt to gain unauthorized access to any part of Goldi, including any attempt to break or circumvent authentication or security measures or otherwise test the vulnerability of our systems, networks or the Services
Use our Services or Goldi for any illegal or unauthorized purpose
Interfere with, inhibit or restrict any other user from enjoying the Services
Impersonate any person or entity, misrepresent your identity, or falsely state or otherwise misrepresent your affiliate with a person or entity
Share your password or take actions that put your account at risk
Attempt to use another’s account
Engage in activities related to the soliciting of email or other contact information from other users
Take any action to scrape the Service
Reverse-engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code of the Services, Goldi or any related technology

5.2 Content Moderation

Climb Together reserves the absolute right to take all action to protect the Services and address inappropriate conduct as determined in our sole and absolute discretion, including without limitation, to:

Monitor and review all interactions with Goldi and our Services
Remove any content that violates these Terms
Suspend or terminate accounts that engage in prohibited conduct or if we believe such account(s) pose a risk of a harm to the Services, our system or other users
Report illegal activity to appropriate law enforcement authorities

5.3 Account Access, Limitations, Suspensions and Termination

We reserve the right to limit, terminate or suspend your account immediately, without prior notice or liability for any lawful reason, including without limitation

If your affiliation with our partner organizations changes or ends
If we determine that you are using the Service in violation of these Terms
For scheduled maintenance or unexpected technical issues
If we determine the Services or other users may be at risk
If we determine that you:
Are using offensive, harassing, or discriminatory language
Attempting to use Goldi or the Services for prohibited purposes
Engaging in any conduct that interferes with other users' enjoyment of the Service
Creating multiple accounts to circumvent suspensions or terminations

5.4 Zero Tolerance Policy We maintain a zero-tolerance policy for certain types of behavior, including hate speech, harassment, and threats. Accounts engaging in such behavior (or similar behaviors) will be terminated immediately.

6. Content and Ownership

6.1 User Content Defined

"User Content" refers to:

Text messages you send to Goldi
Voice recordings when using voice chat with Goldi
Any information you provide during interactions with the Service
Content you create using Goldi's assistance

6.2 User Content Ownership and License

You retain ownership of your User Content. By using Goldi or the Services, you grant Climb Together a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, transferable and sublicensable right to use, copy, modify, translate, distribute, publish, and process any information and User Content that you provide through the Services, without any further consent, notice, accounting, and/or compensation to you or others, at all times subject to our Privacy Policy, to: Store your Content on our servers, and

Process your Content to generate AI responses and provide and support the Services, including for technical and other customer support purposes
Analyze your Content to improve Goldi's AI capabilities
Use anonymized insights from your Content for product improvement, to provide and support the Services, and for statistical or analytics purposes

This license DOES NOT give us permission to:

Share your specific conversations with other users
Publicly display your conversations for marketing without additional consent
Sell your Content to third parties
Use your Content in ways unrelated to providing and improving Goldi or as otherwise explicitly set forth in these Terms

6.3 Educational Partner Access

When you access Goldi through an educational institution or partner organization:

Instructor/Administrator Access: Your instructors, advisors, or program administrators may have access to your conversations, recordings, and interaction data with Goldi.
Educational Assessment: Your interactions may be used by your educational institution for assessment, feedback, or instructional purposes.
Institutional Reporting: Anonymized or aggregate data about your usage may be shared with your educational institution.
Program Evaluation: Excerpts or recordings from your interactions may be shared with the sponsoring educational institution for program evaluation and research.

If you are using Goldi as part of a course, program, or institutional offering, you acknowledge that your conversations are not private from your educational institution's authorized representatives and that use of your conversations and other User Content will be governed by your institutions policies. Climb Together shall have no liability or responsibility for such institutions’ use, processing or storage of such User Content, and you explicitly consent to Climb Together’s sharing of such User Content as described in these Terms.

6.4 Session Recordings for Quality Improvement

As detailed in Section 4.2, your sessions are recorded for quality improvement. These recordings:

Help us understand how users interact with Goldi
Allow us to identify and fix technical issues
Support training our AI to provide better responses
May be reviewed by authorized Climb Together personnel

6.5 Research

Participation is Separate If you volunteer to participate in research studies, a separate consent form will detail how recordings and information from those sessions may be used, which could include sharing with partners or inclusion in case studies.

6.6 Feedback

If you provide suggestions or feedback regarding Goldi or the Services, you grant Climb Together the right to use this feedback without restriction or compensation for any lawful purpose.

6.7 Ownership of Service

Goldi, the Services, and all content, materials, and all intellectual property rights related to the same, including but not limited to text, graphics, logos, images, and software, belong exclusively to Climb Together or its licensors and are protected by copyright, trademark and other intellectual property laws. These Terms do not grant you any right, title, or interest in Goldi or the Services except for the limited, personal, non-exclusive, non-transferable, and revocable right to use the Service as outlined in these Terms for your personal, non-commercial use. You may not use, reproduce, distribute, or create derivative works from any content or materials use in connection with Goldi or the Services without our prior written consent.

6.8 Third-Party Content

Our Services may contain links to third-party websites or services that are not owned or controlled by Climb Together. We are not responsible for the content, privacy policies, or practices of any third-party websites or services, and we do not warrant the offerings of any of these entities/individuals or their websites. You access and use third-party websites or services at your own risk and subject to the terms and conditions and privacy practices of such third-party websites or services. We strongly encourage you to read the term, conditions and privacy policies of any third party web site or services that you visit. You acknowledge and agree that Climb Together shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

7. Service Access and Potential Future Subscriptions

7.1 Educational Partnerships

Goldi is currently provided free of charge to users through our partnerships with educational institutions and organizations. Your access is sponsored by these partner organizations, and your eligibility is determined by your affiliation with these partners.

7.2 Future Subscription Options

We may introduce subscription-based access to Goldi and the Services in the future. If we implement a subscription or other paid model:

We will provide clear notice of any changes
We will describe all fees on our website
We reserve the right to change our fees with advance notice
We will use Stripe, or other third-party processor, to process payments, and your payment information will be subject to such payment processor’s privacy policy and terms of service
You will be able to cancel your subscription according to our cancellation policy then in effect
Refunds, if applicable, as determined in our sole discretion, will be processed according to our refund policy

8. Termination In addition to all other rights of termination as set forth in these Terms, we may terminate or suspend your access to Goldi or the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use Goldi and the Services will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, disclaimer of warranties, indemnity and limitations of liability.

9. Disclaimer of Warranties GOLDI AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND YOU AGREE AND ACKNOWLEDGE THAT YOUR USE OF THE SERVICES ARE AT YOUR OWN DISCRETION AND SOLE RISK. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 10. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIMB TOGETHER, ITS AFFILIATES, SUPPLIERS, OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, CONTRACTORS, REPRESENTATIVES, AND AGENTS (THE “CLLIMB TOGETHER PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OR INABILITY TO USE GOLDI OR THE SERVICES, ANY UNAUTHORZED ACCESS TO OR USE OF OUR, OR OUR SUPPLIERS’, SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN, ANY INTERRUPTION TO THE SERIVCES, ANY BUGS, VIRUSES, TROJAN HORSES OR MALWARE THAT MEY BE TRASMITTED TO OR THROUGH THE SERVICES BY ANY THIRD-PARTY, ANY ERRORS OR MISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF ANY USER CONTENT OR OTHER CONTENT MADE AVAILABLE THROUGH THE USERS, INCLUDING RESPONSES BY GOLDI. IN NO EVENT SHALL CLIMB TOGETHER OR THE CLIMB TOGETHER PARTIES’ TOTAL LIABILITY TO YOU UNDER THESE TERMS FOR ALL DAMAGES (OTHER THAN AS REQUIRED BY APPLICABLE LAW RELATING TO PERSONAL INJURY) EXCEED FIFTY U.S. DOLLARS ($50.00). THIS LIMITATION OF LIABILITY IS A CRITICAL ELEMENT OF THE BARGAIN BETWEEN YOU AND CLIMB TOGETHER AND WE WOULD NOT HAVE ENTERED INTO THESE TERM WITH YOU WITHOUT THIS LIMITATION OF LIABILITY.

11. Indemnification

You agree to indemnify and hold harmless Climb Together and the Climb Together Parties from any claims, damages, liabilities, losses, demands, suits, allegations, costs, or expenses (including reasonable attorneys’ and other professionals’ fees and court costs) arising from your use of Goldi or the Services, your provision of User Content, and/or

violation of these Terms.

12. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you via email or by posting a notice on our website. Your continued use of Goldi and/or the Services after such modifications constitutes your acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction and exclusive venue of the federal and state courts located in and serving the County of San Francisco, California as the legal forum for any dispute.

14. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration conducted in San Francisco, California, under the commercial arbitration rules of the American Arbitration Association (“AAA”), except that you may assert claims against us in small claims court if your claims qualify. The arbitration shall be overseen by a single arbitrator appointed under the AAA rules. The arbitrator shall memorialize any decision in a written memorandum of decision, shall apply applicable law as set forth herein, and shall have no authority to modify these terms. Reasonable discovery will be permitted at the discretion of the arbitrator. Any arbitration decision may be filed in a court of competent jurisdiction. The foregoing arbitration process shall not apply in the case either party seeks equitable relief.

15. General Terms

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect, and you and we agree that the court, or arbitrator should modify the terms to make that part enforceable to effect the original intent of the parties to the maximum extent possible. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service. You may not assign or transfer these Terms (or your use of the Services) to anyone without our prior written consent, which may be withheld in our sole discretion, and you agree that we may assign these Terms without your consent for any reason, including if we experience a change in control. There are no third-party beneficiaries to these Terms.

16. Contact Information

You agree that email notices sent by either party will satisfy any legal communication requirements and that you are obligated to keep your email address current in your Climb Together account so that you receive up-to-date notices.
